Overview

Welcome to Memory That Lasts.

The terms “we,” “us,” and “our” refer to Memory That Lasts LLC, operating under the trade name Memory That Lasts.

Memory That Lasts operates memorythatlasts.com, including the information, content, features, tools, products, and services available through our website (collectively, the “Services”). Memory That Lasts is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (“Terms”) describe your rights and responsibilities when you visit, interact with, or use the Services or purchase from us.

Please read these Terms carefully. They contain important information about orders, personalized products, returns, intellectual property, warranty disclaimers, limitations of liability, and other legal rights.

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you should not use the Services.

Nothing in these Terms limits any consumer right, warranty, remedy, or protection that cannot legally be limited or waived.

Section 1. Access and accounts

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or other jurisdiction of residence, or are otherwise legally able to enter into a binding agreement.

To use certain Services or place an order, you may be asked to provide information such as your:

  • name
  • email address
  • billing information
  • payment information
  • shipping information

You represent that information you provide is accurate, current, and complete and that you have the right to provide it.

If you create an account, you are responsible for:

  • keeping your account credentials secure
  • activity conducted through your account
  • notifying us if you believe your account has been accessed without authorization

You may not sell, transfer, assign, or license your account to another person.

We may restrict or terminate access when reasonably necessary to prevent fraud or misuse, protect customers or our systems, enforce these Terms, or comply with applicable law.

Section 2. Our products

Memory That Lasts offers jewelry across several categories, including:

  • ready-to-wear pieces sold as shown
  • pre-engraved or meaning-led designs sold as shown
  • select personalized pieces that allow you to enter custom details

Materials, finishes, stones, sizes, dimensions, personalization options, and care requirements vary by piece.

Please review the individual product page before ordering. The information shown on that product page applies to that product.

We make reasonable efforts to present our products accurately. Colors, finishes, proportions, engraving appearance, and other visual details may vary slightly because of:

  • lighting
  • photography
  • screen and device settings
  • normal production variation
  • the characteristics of particular materials

Product descriptions, options, pricing, and availability may change from time to time.

We may discontinue products or limit availability where reasonably necessary.

If a product arrives damaged, defective, incorrect, or with an engraving error we made, our Refund Policy applies regardless of ordinary variations in photography, display, or finish.

Section 3. Orders

When you place an order, you are making an offer to purchase.

We may accept or decline an order where reasonably necessary. Payment must be successfully processed before an order can be fulfilled.

Please review your order carefully before submitting it.

You agree to provide accurate:

  • contact information
  • billing information
  • shipping information
  • product selections
  • personalization details, when applicable

We may refuse, cancel, or request changes to an order for reasons including:

  • suspected fraud or unauthorized payment
  • payment failure
  • an obvious pricing or technical error
  • an unavailable product or option
  • an address we cannot service
  • personalization we cannot reasonably or lawfully fulfill
  • violation of these Terms or applicable law

If we cancel an order after payment has been collected, we will issue the appropriate refund.

Purchases are subject to our Refund Policy:

https://memorythatlasts.com/policies/refund-policy

Our products are intended primarily for personal or household use unless we expressly agree otherwise.

Section 4. Personalized products

A product is personalized when you enter custom details specifically for your piece, such as a:

  • name
  • date
  • initial
  • word
  • phrase
  • other available personalization

Our personalized products include a live preview to help you review the information you enter before ordering.

Before checkout, please review:

  • spelling
  • names
  • initials
  • dates
  • selected size
  • selected finish
  • design selection
  • other personalization details
  • shipping address

You are responsible for reviewing the information you submit.

Personalized pieces are final sale for change of mind, as explained in our Refund Policy.

Final sale does not mean you are responsible for an error on our side.

If a personalized piece arrives damaged, defective, incorrect, or with an engraving error we made, please use our Report a Problem process.

Section 5. Acceptable personalization

You may submit personalization that is lawful and appropriate for the product.

We may refuse, cancel, or request changes to personalization that:

  • contains unlawful content
  • contains threats, harassment, hate speech, or discriminatory content
  • is sexually explicit
  • infringes or appears to infringe another person’s intellectual-property rights
  • contains material we cannot reasonably reproduce or fulfill
  • otherwise violates these Terms or applicable law

If we cannot fulfill submitted personalization, we may contact you to request an alternative.

If the affected item or order cannot be completed, we may cancel it and issue the appropriate refund.

Section 6. Prices and billing

Prices are displayed in U.S. dollars unless otherwise indicated.

Prices, discounts, promotions, and availability may change without notice.

The price applicable to an order is generally the price displayed when the order is placed, subject to correction of obvious technical, typographical, or system errors.

If an order is affected by an incorrect price caused by such an error, we may cancel the affected order and issue the appropriate refund.

Promotions and discount codes may have separate:

  • eligibility requirements
  • expiration dates
  • usage limits
  • restrictions on combining offers

You agree to provide current, complete, and accurate billing and payment information.

You represent that you are authorized to use the payment method provided.

Payments are processed through Shopify Payments or other payment methods available at checkout.

Section 7. Shipping and delivery

We currently ship to the United States and Canada.

Standard shipping is free to both countries.

Orders ship within 2 to 5 days.

Delivery estimates begin after an order ships and are estimates rather than guarantees.

Carrier delays, customs processing, severe weather, holidays, and other events outside our reasonable control may affect delivery.

Our Shipping Policy contains current details about:

  • processing times
  • estimated transit times
  • tracking
  • Canadian import taxes and fees
  • address changes
  • delayed tracking
  • packages marked delivered

Please review:

https://memorythatlasts.com/policies/shipping-policy

Nothing in this section limits any rights or remedies available under applicable consumer law.

Section 8. Returns, refunds, and order problems

Our Refund Policy governs returns, refunds, exchanges, and product problems.

Non-personalized pieces

Eligible non-personalized pieces may be returned within 14 days of delivery when they satisfy the conditions in our Refund Policy.

A pre-engraved design purchased as shown is not considered personalized when you did not enter custom details for the piece.

Personalized pieces

Personalized pieces are final sale for change of mind.

Exchanges

We do not offer exchanges.

If you would prefer another eligible piece, you may place a new order.

If something arrives wrong

If an item arrives:

  • damaged
  • defective
  • incorrect
  • with an engraving error we made

please report it within 14 days of delivery.

Our complete Refund Policy is available here:

Please do not mail anything before receiving approval and return instructions.

Section 9. Changes and cancellations

If you need to request an order change or cancellation, contact us as soon as possible, ideally within 1 hour of ordering.

We will do our best to help, but changes and cancellations are not guaranteed once production, packing, or fulfillment begins.

Section 10. Intellectual property

The Services, including our branding, text, graphics, photography, videos, layouts, original designs, and other content, are owned by Memory That Lasts or used with permission or under license.

The Memory That Lasts name, logos, product names, designs, and other brand elements may also be protected by applicable intellectual-property laws.

You may use the Services for ordinary personal and noncommercial shopping purposes.

Except where permitted by applicable law or with our written permission, you may not reproduce, distribute, republish, modify, sell, commercially exploit, or create unauthorized derivative works from protected content appearing through the Services.

Nothing in these Terms transfers ownership of intellectual property belonging to Memory That Lasts, Shopify, or another third party.

Section 11. Optional tools

We may provide access to tools, features, integrations, or services supplied by third parties.

We do not necessarily control or operate those third-party tools.

Third-party tools may be subject to separate terms and policies established by their providers.

To the extent permitted by law, your use of optional third-party tools is subject to the terms applicable to those tools.

We may introduce new tools, features, or resources in the future. Unless otherwise stated, those features will also form part of the Services and be subject to these Terms.

Section 12. Third-party links

The Services may contain links to or functionality provided by third parties.

We are not responsible for examining or evaluating the content or accuracy of third-party websites or materials you choose to access.

We do not control third-party websites and are not responsible for their independent:

  • content
  • availability
  • security practices
  • privacy practices
  • products or services

Please review a third party’s applicable terms and policies before entering into a transaction with that third party.

Section 13. Relationship with Shopify

Memory That Lasts is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make in our store are made directly with Memory That Lasts.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Memory That Lasts, including injury, damage, or loss resulting from products or services purchased from Memory That Lasts.

To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Memory That Lasts.

Section 14. Privacy

Personal information collected through the Services is handled as described in our Privacy Policy:

https://memorythatlasts.com/policies/privacy-policy

Because our store is hosted by Shopify, Shopify also processes certain information in connection with your access to and use of the Services.

Our Privacy Policy explains our practices relating to:

  • Shopify
  • Shopify Network Intelligence
  • cookies and similar technologies
  • advertising and analytics
  • data sharing
  • privacy rights
  • Global Privacy Control
  • available privacy choices

For available data-sharing and targeted-advertising choices, visit:

Section 15. Reviews, feedback, and submitted content

If you intentionally submit a review, comment, photograph, suggestion, or other content for publication or use in connection with our store, you represent that:

  • you own the content or have the necessary rights to submit it
  • it does not violate another person’s intellectual-property, privacy, publicity, or other rights
  • it is not fraudulent, unlawful, defamatory, threatening, abusive, or malicious
  • information you provide is not intentionally false or misleading

For content intentionally submitted for public display, such as a product review, you grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, and use that content in connection with operating, improving, and promoting Memory That Lasts.

You retain ownership of your original content.

We may moderate, edit, or remove public content when reasonably necessary.

Customer-support photographs and files

Photographs, files, messages, or other materials submitted solely for:

  • customer support
  • an eligible return
  • a damaged or defective product
  • an incorrect order
  • a personalization or engraving problem

are not treated as promotional content and are not used for marketing without separate permission.

Simply tagging or mentioning Memory That Lasts on social media does not, by itself, grant us unrestricted permission to use your content in advertising.

Section 16. Errors, inaccuracies, and omissions

Occasionally information on the Services may contain typographical errors, inaccuracies, or omissions relating to matters such as:

  • product descriptions
  • pricing
  • promotions
  • availability
  • shipping information
  • transit estimates

We may correct errors or update information when reasonably necessary.

If an error materially affects an order already placed, we may contact you, correct the order where appropriate, or cancel the affected item and issue the appropriate refund.

Nothing in this section permits us to disregard rights that cannot legally be excluded.

Section 17. Prohibited uses

You may access and use the Services only for lawful purposes.

You may not use the Services to:

  • violate applicable law
  • commit or facilitate fraud
  • infringe intellectual-property or other legal rights
  • threaten, harass, abuse, or impersonate another person
  • knowingly submit false or misleading information
  • distribute malicious software or code
  • interfere with the security or normal operation of the Services
  • attempt unauthorized access to accounts, systems, or data
  • unlawfully collect or track personal information
  • send spam, phishing messages, or other abusive solicitations
  • bypass security, authorization, or technical restrictions
  • use the Services in a manner that materially harms Memory That Lasts, Shopify, our customers, or others

We may restrict access when reasonably necessary to address misuse, security threats, fraud, unlawful activity, or violations of these Terms.

Section 18. Automated agents

This section applies to autonomous or semi-autonomous software or services that access or interact with the Services on behalf of another person or entity (“Agents”).

Agents must not conceal or misrepresent that activity is automated.

Where applicable, Agents must identify themselves appropriately and must not:

  • impersonate human activity to defeat safeguards
  • circumvent CAPTCHAs or similar protections
  • bypass technical measures intended to control automated access
  • evade requests or controls restricting automated activity
  • interfere with the operation or security of the Services

We may limit automated access when reasonably necessary for:

  • security
  • site performance
  • fraud prevention
  • legal compliance
  • protection of our systems or customers

Nothing in this section is intended to prevent legitimate search engines, shopping services, AI shopping agents, or other authorized technologies from accessing publicly available store information in accordance with applicable rules and technical controls.

Section 19. Termination

We may suspend or terminate access to all or part of the Services when reasonably necessary because of:

  • violation of these Terms
  • fraud or suspected fraud
  • unlawful activity
  • abuse
  • security threats
  • misuse of our systems

Termination does not eliminate obligations or rights that arose before termination.

Provisions that by their nature should continue after termination will remain effective, including provisions relating to:

  • intellectual property
  • submitted content
  • disclaimers
  • liability
  • indemnification
  • privacy
  • governing law

Section 20. Product use and care

Materials and care requirements vary by piece.

Please review the applicable product page and any care information provided for the product you purchase.

If you have known metal sensitivities or allergies, review the listed materials before ordering.

We do not make medical, therapeutic, healing, spiritual, or other health claims about our jewelry.

Normal wear, care practices, exposure to chemicals, storage, and use may affect the appearance or condition of jewelry over time.

Nothing in this section limits legal rights relating to defective, unsafe, incorrectly supplied, or otherwise nonconforming products.

Section 21. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as available” basis.

We do not guarantee that access to the website will always be:

  • uninterrupted
  • timely
  • secure
  • free from technical errors

Except for warranties or obligations expressly provided by us or required by applicable law, we disclaim warranties to the extent the law permits us to do so.

Some jurisdictions do not permit the exclusion of certain warranties or conditions.

Nothing in these Terms excludes or limits any warranty, guarantee, consumer-protection right, or remedy that cannot legally be excluded or limited.

Section 22. Limitation of liability

To the fullest extent permitted by applicable law, Memory That Lasts and its officers, employees, contractors, agents, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the Services where such liability may lawfully be limited.

To the fullest extent permitted by applicable law, our aggregate liability arising directly from a particular purchase will not exceed the amount paid for the product giving rise to the claim.

These limitations do not apply where liability cannot legally be excluded or limited.

Nothing in these Terms limits:

  • statutory consumer rights
  • remedies required by applicable law
  • liability that applicable law does not permit us to exclude or limit

Section 23. Indemnification

To the extent permitted by applicable law, you agree to be responsible for third-party claims, losses, damages, or liabilities arising directly from:

  • your material breach of these Terms
  • your unlawful use of the Services
  • your infringement of another person’s legal rights

This provision does not require you to indemnify us for our own unlawful conduct or for obligations that applicable law does not permit us to transfer to you.

Section 24. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will continue in effect.

Section 25. Waiver and entire agreement

Our failure to exercise or enforce a right or provision of these Terms does not waive our ability to exercise or enforce that right later.

These Terms, together with the policies and rules incorporated or referenced in them, constitute the agreement governing your use of the Services, subject to any additional terms expressly presented for a particular transaction, feature, service, or promotion.

Section 26. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior consent where doing so would materially affect another person or our ability to provide the Services.

We may transfer or assign rights or obligations associated with these Terms as part of a legitimate:

  • merger
  • acquisition
  • restructuring
  • financing
  • sale of assets
  • similar business transaction

Any such transfer remains subject to applicable law.

Section 27. Governing law

These Terms are governed by the laws applicable to Memory That Lasts LLC in the State of Delaware, United States, without limiting mandatory consumer-protection rights that apply to you based on where you live.

Nothing in these Terms requires you to waive a right, remedy, or legal protection that cannot lawfully be waived.

Section 28. Headings

Section headings are included for organization and convenience only.

They do not independently alter or limit the meaning of these Terms.

Section 29. Changes to these Terms

You may review the current version of these Terms on this page at any time.

We may update these Terms to reflect changes to:

  • our business
  • products or services
  • website functionality
  • policies
  • legal or regulatory requirements

When we update these Terms, we will publish the revised version and update the Last updated date above.

Where applicable law requires additional notice or consent, we will provide it.

Your continued use of the Services after an update takes effect constitutes acceptance to the extent permitted by applicable law.
